Membership and Services Agreement
Italian Citizenship by Descent - Flat Fee Program
This Membership & Services Agreement (“Agreement”) is entered into by and between CitizensByDescent (“CD,” “we,” or “our”), a Delaware corporation, and you (“Member,” “you,” or “your”), as of the date of execution (“Effective Date”). Collectively, CD and the Member are the “Parties.”

1. SCOPE OF SERVICES‍
- Overview
CD provides professional assistance and guidance for individuals and families pursuing Italian citizenship by descent. Our role is advisory and coordinative. Final decisions rest exclusively with the relevant Italian authorities. - Core Services:
- Eligibility assessment and review of lineage and documentation
- Strategy for required records and documentation
- Procurement of vital records (U.S. and Italian)
- Professional translations
- Apostille/legalization services
- Secure digital platform access for document storage, progress tracking, and communication
- Legal document preparation, filings, and supporting documentation required to complete the citizenship request
- Coordination with Italian legal counsel when necessary
- On-the-ground assistance in Italy, when applicable, to finalize requirements
- Notification once citizenship is granted
- Exclusions (Separate Fees Apply)
- Genealogical research beyond initial assessment
- U.S. court orders or USCIS certificate fees
- Italian Court Fee (when applicable)
- Any services not expressly listed above
- Limitations:
- Timelines depend on government/court schedules outside CD’s control
- Services are delivered remotely unless otherwise agreed
- 2. SERVICE COMMENCEMENT
Services are considered substantially commenced when: - CD completes the comprehensive case assessment; AND
- CD provides the document collection strategy; AND
- Work begins on document procurement and/or legal preparation.
- Refund eligibility is based on whether substantial services have already been provided.
3. MEMBER RESPONSIBILITIES
- Provide accurate and complete information, cooperate in supplying records, and follow CD guidance throughout the process.
4. FEES AND EXPENSES
- Professional Fee (“PF”) covers services described in this Agreement
- Non-refundable except as outlined under the Money-Back Guarantee (MBG)
- Standard case expenses are covered
- Out-of-scope or exceptional expenses require Member approval
- 5. MONEY-BACK GUARANTEE (MBG)
- Full Refund (100%)
If the Member’s application is officially denied and the Member chooses not to appeal. - Partial Refund (90%)
If within 90 days of commencement CD determines conclusively that the Member is ineligible.
- No Refund
- Inaccurate, fraudulent, or incomplete information
- Delays or policy changes not resulting in denial
- Failure to provide required documents
- Refunds are processed after confirmation, and already-incurred expenses may be deducted.
- 6. CONFIDENTIALITY & DATA PROTECTION
- All Member information is confidential and protected under applicable privacy laws (including GDPR/CCPA). Documents may be returned or deleted upon request.
- 7. Termination
- Member may terminate with 30 days’ written notice. CD retains all fees paid to date, subject to MBG. CD may suspend or terminate for non-payment, fraud, or breach.
- 8. Case Continuity & Bankruptcy
- If CD ceases operations or cannot complete services, CD will:
- Transfer the case to a qualified successor firm at no cost, OR
- Provide all work product so the Member can continue with alternative counsel.
- Members will receive at least 60 days’ written notice unless legally prohibited.
- 9. Force Majeure
CD is not liable for delays or failures caused by events beyond reasonable control, including government or court delays, policy changes, strikes, pandemics, or natural disasters.
- 10. Dispute Resolution
Disputes will be handled by written notice first; unresolved matters go to binding arbitration under ICDR, in Delaware. No class actions permitted.
- 11. Disclaimers & Limitation of Liability
CD does not guarantee approval. Liability is capped at total fees paid. No indirect or consequential damages.
- 12. Governing Law
This Agreement is governed by the laws of Delaware, USA.
- 13. Entire Agreement & Updates
Represents the entire understanding. CD may update terms for operational/legal reasons; continued use constitutes acceptance.
By executing this Agreement, you acknowledge that you have read, understood, and agreed to these terms.
